Valuing S Corporations and Other Pass Through Entities
This session will provide specific guidance for incorporating the wealth of research relating to the effects of taxes on value into valuation analysis. Learning objectives include understanding the IRS’s position on S corporation valuation; knowing when to apply a so-called ‘premium’ (and when not to); and when and how to consider tax amortization benefits.

The Unjust Enrichment Remedy
This session will provide an overview of this commonly used remedy in cases involving trade secrets, copyrights, and trade names.
